Terms of service

The agreement between you and Infraexa for dedicated server packages and the operations layer.

Pending legal review. This document describes how Infraexa intends to operate and will be finalised by counsel before customer signature.

1. Parties and scope

These terms govern the supply of dedicated server packages, add-ons and operations services by Infraexa to business customers. Infraexa does not sell to consumers.

2. Ordering and delivery

An order is accepted when Infraexa confirms it in writing. Standard packages are delivered within 48 hours of acceptance; cluster and custom builds within the time stated in the quote. Delivery means handover of access credentials and the handover document.

3. Term, billing and cancellation

Packages are billed monthly in advance, in euros, excluding VAT. There is no setup fee. The minimum term is 3 months from delivery. After the minimum term either party may cancel with 30 days written notice to the end of a billing month.

Usage-based charges such as outbound traffic beyond the included allowance and engineering hours are billed in arrears on the next invoice.

4. Your responsibilities

You keep your credentials confidential, use the services lawfully and in line with the acceptable use policy, and give Infraexa the access and maintenance windows it needs to deliver the operations layer. You remain responsible for your applications and data.

5. Infraexa's responsibilities

Infraexa delivers the hardware, network and operations layer described on the package page and in the service level agreement, keeps your data within the EU, and informs you before planned maintenance.

6. Data and confidentiality

Each party keeps the other's confidential information confidential. Processing of personal data on your behalf is governed by the data processing agreement.

7. Liability

Infraexa's aggregate liability in any twelve-month period is limited to the fees paid for the affected services in that period. Neither party is liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.

8. Suspension and termination

Infraexa may suspend services for unpaid invoices after 14 days notice, or immediately for serious breaches of the acceptable use policy. On termination Infraexa provides 14 days of read access for you to export data, then securely erases it.

9. Governing law

Dutch law applies. Disputes go to the competent court in Amsterdam.
